A customer purchase order does not automatically bind RuoChen. Any additional or conflicting terms in a customer purchase order will apply only if expressly accepted by RuoChen in writing.
If these Terms conflict with a signed contract, nondisclosure agreement, order confirmation, or project-specific written agreement, the project-specific written agreement will control for that project.
5. Customer-Supplied Information
You are responsible for providing complete and accurate project information, including:
- Drawings and CAD models
- Dimensions and tolerances
- Material grades
- Surface finishes
- Heat treatment requirements
- Inspection standards
- Functional and assembly requirements
- Regulatory or industry requirements
- Delivery and packaging requirements
- Intended use and operating conditions
RuoChen is not responsible for defects, delays, or additional costs caused by incomplete, inaccurate, inconsistent, outdated, or misleading information supplied by the customer.
Where multiple drawings, models, specifications, or revisions conflict, production may be paused until the customer confirms the controlling version.
6. Drawings, CAD Files, and Design Responsibility
RuoChen may review customer files for manufacturability and may suggest changes intended to improve production, quality, lead time, or cost.
Unless expressly agreed in writing:
- The customer remains responsible for the product design
- The customer remains responsible for confirming fit, form, function, safety, and regulatory compliance
- Manufacturability feedback does not constitute product certification or design approval
- RuoChen is not responsible for design defects contained in customer-supplied files
- Production will follow the approved drawing, model, specification, or written instruction
Any change to a drawing, CAD model, revision number, material, tolerance, surface treatment, or quantity may require a revised quotation and lead time.
7. Tolerances and Technical Information
General tolerances, machining capabilities, material information, surface finish information, case studies, and other technical content on the website are provided for general reference only.
Actual achievable specifications depend on factors such as:
- Part geometry
- Part size
- Material
- Wall thickness
- Feature accessibility
- Manufacturing process
- Surface treatment
- Quantity
- Inspection method
- Environmental and functional requirements
Project drawings, approved specifications, and written order documents take priority over general website information.
Any unusually tight tolerance, critical characteristic, cosmetic standard, special inspection requirement, or regulatory requirement must be clearly identified before quotation and order confirmation.
8. Materials and Substitutions
Materials will be supplied according to the grade, standard, or specification confirmed in the applicable order documents.
RuoChen will not knowingly substitute a specified material without authorization where the substitution could affect agreed project requirements.
Where a material grade is unavailable, discontinued, commercially impractical, or subject to abnormal lead times, we may propose an alternative for customer approval.
Material certificates, inspection records, and other documentation must be requested before order confirmation and may involve additional fees.
9. Samples, Prototypes, and Approval
Where a project includes prototypes, first articles, pre-production samples, or approval samples, the customer is responsible for reviewing and approving them within the agreed period.
Approval may authorize RuoChen to proceed with further production.
Changes requested after sample approval may result in:
- Additional engineering charges
- New tooling or fixture costs
- Revised pricing
- Extended lead times
- Scrapping or reworking of completed products
A prototype or sample may not represent the full production process unless expressly stated in the quotation or order confirmation.
10. Pricing, Taxes, and Payment
Pricing will be stated in the applicable quotation, pro forma invoice, or order confirmation.
Unless otherwise stated:
- Prices exclude taxes, duties, import charges, customs fees, and destination charges
- Bank fees and payment processing fees may be charged to the customer
- Production may not begin until the required deposit or payment has been received
- Final payment may be required before shipment
- Overdue payments may delay production or shipment
The customer is responsible for providing accurate billing details and paying all amounts when due.
11. Tooling, Fixtures, Molds, and Production Aids
Projects may require dedicated molds, dies, fixtures, jigs, electrodes, gauges, programs, or other production aids.
Ownership, storage, maintenance, repair, replacement, and use rights for these items will be determined by the applicable quotation or written agreement.
Unless expressly stated otherwise, tooling charges may cover only part of the engineering and manufacturing cost and do not automatically transfer ownership of all underlying designs, processes, software, or manufacturing knowledge.
RuoChen may dispose of inactive tooling after a commercially reasonable storage period, subject to any applicable written agreement and reasonable notice where practicable.
12. Lead Times
Production and delivery dates are estimates unless expressly guaranteed in writing.
Lead times may begin only after RuoChen has received all required items, including:
- Final approved drawings and specifications
- Customer confirmations
- Required deposit or payment
- Material and finishing requirements
- Inspection and documentation requirements
- Approved samples, where applicable
Estimated lead times may be affected by material availability, technical changes, supplier delays, equipment issues, customs procedures, shipping conditions, force majeure events, or other circumstances beyond reasonable control.
13. Shipping, Customs, and Risk of Loss
Shipping terms will be stated in the applicable quotation, invoice, or order confirmation.
The customer is responsible for:
- Providing accurate shipping and consignee information
- Reviewing import restrictions
- Paying applicable duties, taxes, brokerage fees, and customs charges
- Obtaining required import permits or approvals
- Inspecting packages promptly after delivery
Responsibility for freight costs, insurance, customs clearance, title, and risk of loss will be determined by the agreed shipping terms.
RuoChen is not responsible for delays caused by carriers, customs authorities, port congestion, weather, inspections, or incorrect consignee information.
14. Inspection and Acceptance
RuoChen may perform in-process and final inspections based on the approved drawing, specification, inspection plan, or order requirements.
The customer must inspect delivered products within the period stated in the quotation, order confirmation, or purchase agreement.
Any claim concerning quantity, dimensions, material, workmanship, surface finish, transit damage, or other nonconformity must:
- Be submitted promptly in writing
- Identify the affected order and part number
- Describe the alleged issue
- Include relevant photographs, measurements, inspection records, or other supporting evidence
- Preserve the affected products for reasonable review
The customer must not modify, assemble, process, resell, or discard allegedly nonconforming products before RuoChen has had a reasonable opportunity to investigate.
Use, assembly, alteration, or resale of products may constitute acceptance to the extent permitted by law.
15. Nonconforming Products
If RuoChen confirms that products materially fail to meet the agreed specifications for reasons attributable to RuoChen, the available remedy may include, at our reasonable discretion:
- Rework
- Replacement
- Credit
- Refund of the amount paid for the confirmed nonconforming products
Unless expressly agreed in writing, RuoChen is not responsible for:
- Customer design errors
- Incorrect or incomplete customer specifications
- Normal manufacturing variation within approved tolerances
- Damage caused by improper storage, assembly, handling, installation, maintenance, or use
- Products altered or repaired by another party
- Failure caused by an unsuitable material or finish selected by the customer
- Performance outside the disclosed operating conditions
- Cosmetic conditions not defined by an approved standard or sample
16. Order Changes and Cancellation
Requests to change or cancel an order must be submitted in writing.
RuoChen may accept or reject a change or cancellation request depending on the project status.
The customer may be responsible for costs already incurred, including:
- Engineering work
- Programming
- Material purchases
- Tooling and fixtures
- Completed or partially completed production
- Surface treatment
- Inspection
- Packaging
- Supplier cancellation charges
- Administrative and handling costs
Approved changes may require revised pricing and lead times.
17. Customer Intellectual Property
The customer retains ownership of intellectual property contained in customer-supplied drawings, CAD models, trademarks, specifications, and other original materials, subject to any third-party rights.
By submitting project materials, you grant RuoChen a limited right to use, reproduce, convert, store, and share those materials only as reasonably necessary to:
- Review the inquiry
- Prepare a quotation
- Provide engineering feedback
- Manufacture and inspect products
- Coordinate approved suppliers
- Complete the order
- Maintain required project records
You represent that you have the legal right to provide the submitted materials and authorize their use for the requested manufacturing project.
18. RuoChen Intellectual Property
Unless otherwise agreed in writing, RuoChen retains ownership of:

- Manufacturing processes
- General production methods
- Internal programs and workflows
- Toolpath strategies
- Process improvements
- Know-how
- Non-customer-specific fixtures and production concepts
- Quotations, reports, graphics, text, photographs, and branding
Payment for products or tooling does not transfer RuoChen’s background intellectual property, general manufacturing knowledge, or independently developed processes.
19. Confidentiality
RuoChen will take reasonable measures to protect non-public project information submitted for quotation or manufacturing.
Confidentiality obligations may be further defined in a separate nondisclosure agreement.
Information will not be considered confidential where it:
- Is publicly available without breach of an obligation
- Was already lawfully known to the receiving party
- Is received lawfully from another source
- Is independently developed without using the confidential information
- Must be disclosed under applicable law or a valid government order
Where legally permitted, the receiving party may provide reasonable notice before a required disclosure.

Product photographs, part examples, industry descriptions, and case studies on the website are provided to illustrate manufacturing capabilities.

RuoChen does not control and is not responsible for third-party content, availability, security, policies, or services.

28. Force Majeure
RuoChen will not be liable for delay or failure caused by events beyond its reasonable control, including:

- Epidemics or public health emergencies
- War, terrorism, civil unrest, or government action
- Power, internet, or telecommunications failure
- Labor disruption
- Material shortages

Affected obligations may be suspended for the duration of the event. The parties may discuss revised schedules or other commercially reasonable solutions.
29. Suspension and Termination

30. Governing Law and Disputes

The parties should first attempt to resolve any dispute through good-faith commercial discussion.
If a dispute cannot be resolved through discussion, it may be submitted to a court with competent jurisdiction in Dongguan, Guangdong, China, unless another dispute-resolution method has been agreed in writing.
Mandatory legal rights that cannot be excluded under applicable law remain unaffected.
31. Changes to These Terms

No oral statement will modify an accepted written project agreement unless confirmed in writing by an authorized representative.
